{"id":294329,"date":"2025-09-09T17:43:25","date_gmt":"2025-09-09T15:43:25","guid":{"rendered":"https:\/\/roel.com.hr\/?page_id=294329"},"modified":"2025-09-12T00:36:48","modified_gmt":"2025-09-11T22:36:48","slug":"general-terms-and-conditions","status":"publish","type":"page","link":"https:\/\/roel.com.hr\/en\/general-terms-and-conditions-of-use\/general-terms-and-conditions\/","title":{"rendered":"General Terms and Conditions"},"content":{"rendered":"\t\t<div data-elementor-type=\"wp-page\" data-elementor-id=\"294329\" class=\"elementor elementor-294329 elementor-294317\">\n\t\t\t\t\t\t<section class=\"elementor-section elementor-top-section elementor-element elementor-element-51be028 elementor-section-boxed elementor-section-height-default elementor-section-height-default\" data-id=\"51be028\" data-element_type=\"section\" data-e-type=\"section\">\n\t\t\t\t\t\t<div class=\"elementor-container elementor-column-gap-default\">\n\t\t\t\t\t<div class=\"elementor-column elementor-col-100 elementor-top-column elementor-element elementor-element-fc319f1\" data-id=\"fc319f1\" data-element_type=\"column\" data-e-type=\"column\">\n\t\t\t<div class=\"elementor-widget-wrap elementor-element-populated\">\n\t\t\t\t\t\t<div class=\"elementor-element elementor-element-a9f79c5 elementor-widget elementor-widget-houzez_elementor_space\" data-id=\"a9f79c5\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"houzez_elementor_space.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t        <div class=\"houzez-spacer\">\n            <div class=\"houzez-spacer-inner\"><\/div>\n        <\/div>\n        \t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-0c88818 elementor-widget elementor-widget-text-editor\" data-id=\"0c88818\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t\t\t<p>Pursuant to the provisions of Article 18 of the Real Estate Brokerage Act (Official Gazette 107\/07, 144\/12, 14\/14, 32\/19), the company Roel Real Estate d.o.o., Ulica Frana Bo&scaron;njakovi\u0107a 6, 10000 Zagreb, City of Zagreb, Croatia, OIB: 83280759774, represented by director Dina Ajel in Zagreb, on September 10, 2025, hereby adopts the following:<\/p>\n<p>&nbsp;<\/p>\n<h1>General Terms and Conditions of Business<\/h1>\n<p>&nbsp;<\/p>\n<h2>Definitions of terms<\/h2>\n<p>&nbsp;<\/p>\n<ul>\n<li><strong>Real estate broker<\/strong> means the company <strong>Roel Real Estate d.o.o., Ulica Frana Bo&scaron;njakovi\u0107a 6, 10000 Zagreb, City of Zagreb, Croatia, OIB: 83280759774, represented by director Dina Ajel,<\/strong> registered for carrying out real estate brokerage activities (hereinafter: the <strong>Broker<\/strong>).<\/li>\n<li><strong>Real estate brokerage agent<\/strong> means a natural person registered in the Register of Real Estate Brokerage Agents, employed by the Broker or by a legal entity that has a cooperation agreement with the Broker, or who personally has a cooperation agreement with the Broker (hereinafter: the <strong>Agent<\/strong>).<\/li>\n<li><strong>Real estate brokerage<\/strong> means the activities of a real estate broker aimed at connecting the Principal and a Third Party, as well as negotiations and preparations for concluding legal transactions concerning specific real property, particularly in purchase, sale, exchange, renting, leasing and similar transactions.<\/li>\n<li><strong>Real property<\/strong> means land parcels together with everything permanently attached to the land, on or below its surface, in accordance with the provisions of the general law on ownership and other real rights.<\/li>\n<li><strong>Principal<\/strong> means a natural or legal person who concludes a written brokerage agreement with the real estate broker (seller, buyer, tenant\/lessee, landlord\/lessor, and other potential participants in real estate transactions; hereinafter: the <strong>Principal<\/strong>).<\/li>\n<li><strong>Third Party<\/strong> means a person whom the real estate broker seeks to connect with the Principal for the purpose of negotiating the conclusion of legal transactions concerning specific real property (hereinafter: the <strong>Third Party<\/strong>).<\/li>\n<\/ul>\n<p>&nbsp;<\/p>\n<h2>Introductory provisions<\/h2>\n<p>&nbsp;<\/p>\n<p><strong><br \/> Article 1.<\/strong><\/p>\n<p>1.1. The General Terms and Conditions define the mutual rights and obligations of the Broker and the Principal who enter into a contractual brokerage relationship in real estate transactions.<\/p>\n<p style=\"padding-left: 30px;\">1.1.1. The General Terms and Conditions form an integral part of every brokerage agreement concluded between the Broker and the Principal.<\/p>\n<p style=\"padding-left: 30px;\">1.1.2. If the Principal and the Broker define their contractual relationship differently from these General Terms and Conditions, the provisions of the individual agreement shall prevail.<\/p>\n<p>&nbsp;<\/p>\n<h2>Rights and obligations of the broker<\/h2>\n<p>&nbsp;<\/p>\n<p><strong>Article 2.<\/strong><\/p>\n<p>2.1. Under the brokerage agreement, the Broker undertakes in particular to:<\/p>\n<p style=\"padding-left: 30px;\">2.1.1. endeavour to find and connect with the Principal a person for the conclusion of the mediated transaction,<\/p>\n<p style=\"padding-left: 30px;\">2.1.2.&nbsp;inform the Principal about the average market price of similar property,<\/p>\n<p style=\"padding-left: 30px;\">2.1.3.&nbsp;alert the Principal to defects of the property,<\/p>\n<p style=\"padding-left: 30px;\">2.1.4.&nbsp;obtain and review documents proving ownership or other real rights to the subject property, and warn the Principal of any obvious deficiencies in such documents,<\/p>\n<p style=\"padding-left: 30px;\">2.1.5.&nbsp;undertake necessary activities for presenting (marketing) the property on the market, advertise the property in an appropriate manner, and perform all other actions agreed in the brokerage agreement that exceed ordinary presentation, for which the Broker is entitled to reimbursement of separately agreed expenses,<\/p>\n<p style=\"padding-left: 30px;\">2.1.6.&nbsp;enable inspection of the property,<\/p>\n<p style=\"padding-left: 30px;\">2.1.17.&nbsp;mediate in negotiations and seek to bring about the conclusion of a contract, if specifically agreed,<\/p>\n<p style=\"padding-left: 30px;\">2.1.8.&nbsp;keep the Principal&rsquo;s personal data and, upon the Principal&rsquo;s written instruction, keep as a business secret information about the property for which they broker or about the related transaction,<\/p>\n<p style=\"padding-left: 30px;\">2.1.9.&nbsp;if the subject of the agreement is land, verify the intended use of such land in accordance with applicable spatial planning regulations,<\/p>\n<p style=\"padding-left: 30px;\">2.1.10.&nbsp;inform the Principal of all circumstances relevant to the intended transaction that are known to or reasonably should be known to the Broker,<\/p>\n<p style=\"padding-left: 30px;\">2.1.11.&nbsp;inform the Principal of all legal, tax and other obligations arising for them from the legal transaction concerning the property,<\/p>\n<p style=\"padding-left: 30px;\">2.1.12.&nbsp;if the legal transaction is concluded, facilitate the drafting of preliminary agreements, contracts and other documentation by an attorney.<\/p>\n<p><strong>Article 3.<\/strong><\/p>\n<p><strong>3.1 For the purposes of these General Terms and Conditions, it shall be deemed that the Broker has enabled the Principal to establish contact with a Third Party if the Broker has:<\/strong><\/p>\n<p style=\"padding-left: 30px;\">3.1.1.<strong>&nbsp;<\/strong>directly taken or referred the Principal to view the subject property, or<\/p>\n<p style=\"padding-left: 30px;\">3.1.2.<strong>&nbsp;<\/strong>organized a meeting between the Principal and the Third Party for negotiations on the conclusion of a legal transaction, or<\/p>\n<p style=\"padding-left: 30px;\">3.1.3.<strong>&nbsp;<\/strong>informed the Principal of the name, business name, telephone number, fax number, or email address of the Third Party authorized to conclude the legal transaction, or provided them with the exact location of the requested property.<\/p>\n<p>&nbsp;<\/p>\n<h2>Exclusive brokerage<\/h2>\n<p>&nbsp;<\/p>\n<p><strong>Article 4.<\/strong><\/p>\n<p>4.1. By concluding an exclusive brokerage agreement, the Principal undertakes not to engage any other broker for the mediated transaction.<\/p>\n<p>4.2. If, during the term of the exclusive brokerage agreement, the Principal concludes a legal transaction through another broker, outside the Broker, for which the exclusive Broker was given the order to mediate, the Principal shall pay the exclusive Broker the agreed Commission Fee as well as any additional actual expenses incurred during the mediation of the said transaction.<\/p>\n<p>4.3. When concluding an exclusive brokerage agreement, the Broker shall specifically inform the Principal of the meaning and legal consequences of exclusive brokerage.<\/p>\n<p>4.4. An exclusive brokerage agreement concluded for a fixed term shall terminate upon the expiry of the period for which it was concluded, unless during that period a contract has been concluded for which mediation was provided.<\/p>\n<p>&nbsp;<\/p>\n<h2>Obligations and rights of the principal<\/h2>\n<p>&nbsp;<\/p>\n<p><strong><br \/> <br \/> Article 5.<\/strong><\/p>\n<p>5.1. By concluding a real estate brokerage agreement, the Principal undertakes in particular to:<\/p>\n<p style=\"padding-left: 30px;\">5.1.1. inform the Broker of all circumstances relevant to the brokerage and provide accurate data on the property, and if available, present the Broker with the location permit, building permit or occupancy permit for the property subject to the agreement, as well as evidence of compliance with obligations toward third parties,<\/p>\n<p style=\"padding-left: 30px;\">5.1.2.&nbsp;provide the Broker with documents proving their ownership of the property, or other real right to the property subject to the agreement, and notify the Broker of all registered and unregistered encumbrances existing on the property,<\/p>\n<p style=\"padding-left: 30px;\">5.1.3.&nbsp;allow the Broker and a Third Party interested in concluding the mediated transaction to inspect the property,<\/p>\n<p style=\"padding-left: 30px;\">5.1.4.&nbsp;inform the Broker of all essential information about the desired property, in particular including its description and price,<\/p>\n<p style=\"padding-left: 30px;\">5.1.5.&nbsp;upon the conclusion of the mediated legal transaction, i.e., immediately upon the conclusion of a purchase agreement, exchange agreement, or lease\/rental agreement for the property, pay the Broker the brokerage fee, unless otherwise agreed,<\/p>\n<p style=\"padding-left: 30px;\">5.1.6.&nbsp;if expressly agreed, reimburse the Broker for expenses incurred during the mediation which exceed usual brokerage expenses,<\/p>\n<p style=\"padding-left: 30px;\">5.1.7.&nbsp;inform the Broker in writing of any changes related to the transaction for which the Broker was authorized, especially changes related to ownership of the property.<\/p>\n<p>5.2. The Principal shall not be obliged to enter into negotiations for the conclusion of the mediated transaction with a Third Party introduced by the Broker, nor to conclude a legal transaction, and any contractual provision to the contrary shall be null and void. However, the Principal shall be liable for damages to the Broker if they have not acted in good faith, and shall reimburse all expenses incurred during mediation, which shall not be less than one-third nor greater than the agreed brokerage fee for the mediated transaction.<\/p>\n<p>&nbsp;<\/p>\n<h2>Brokerage fee<\/h2>\n<p>&nbsp;<\/p>\n<p><strong>Article 6.<\/strong><\/p>\n<p>6.1. The Broker shall be entitled to a brokerage fee for mediation in the purchase, sale, exchange, leasing, and renting of real property.<\/p>\n<p>6.2. The Broker is obliged to charge the fee determined by the brokerage agreement for their work.<\/p>\n<p>6.3. The Principal shall also be obliged to pay the brokerage fee if they conclude with a Third Party, introduced by the Broker, a legal transaction different from the one for which brokerage was contracted, but which achieves the same purpose as the mediated transaction, or if the subject of such transaction is the same property which was the subject of brokerage. In the event of such a legal transaction, the Principal shall pay the fee in accordance with the Broker&rsquo;s price list stated in these General Terms and Conditions.<\/p>\n<p>&nbsp;<\/p>\n<h2>Price list<\/h2>\n<p>&nbsp;<\/p>\n<p><strong>Article 7.<\/strong><\/p>\n<p>7.1. The brokerage commission fee for mediation in the purchase, sale, exchange, leasing, and renting of real property is as follows:<\/p>\n<p><strong>Purchase of property<\/strong><\/p>\n<p>The Buyer pays a commission of:<\/p>\n<ul>\n<li>2% &ndash; 4% of the total achieved purchase price<\/li>\n<li>minimum: &euro;1,000.00<\/li>\n<\/ul>\n<p><strong>Sale of property<\/strong><\/p>\n<p>The Seller pays a commission of:<\/p>\n<ul>\n<li>2% &ndash; 5% of the total achieved purchase price<\/li>\n<li>minimum: &euro;1,000.00<\/li>\n<\/ul>\n<p><strong>Letting and leasing out<\/strong><\/p>\n<p>(landlord\/lessor)<\/p>\n<ul>\n<li>50% of one month&rsquo;s rent &ndash; minimum<\/li>\n<li>100% of one month&rsquo;s rent for agreements of 12&ndash;36 months<\/li>\n<li>150% of one month&rsquo;s rent for agreements over 36 months (3+ years)<\/li>\n<\/ul>\n<p><strong>Renting and leasing<\/strong><\/p>\n<p>(tenant\/lessee)<\/p>\n<ul>\n<li>50% of one month&rsquo;s rent &ndash; minimum<\/li>\n<li>100% of one month&rsquo;s rent for agreements of 12&ndash;36 months<\/li>\n<li>150% of one month&rsquo;s rent for agreements over 36 months (3+ years)<\/li>\n<\/ul>\n<p><strong>Additional services<\/strong><\/p>\n<p>(subject to charge in case of partial engagement)<\/p>\n<ul>\n<li>Property photography &ndash; &euro;250.00<\/li>\n<li>Preparation of floor plan &ndash; &euro;200.00<\/li>\n<li>Advertising of the property through our channels &ndash; &euro;150.00\/month<\/li>\n<li>Agent&rsquo;s working hour &ndash; &euro;100.00<\/li>\n<li>Verification of property documentation &ndash; according to the applicable attorney tariff<\/li>\n<li>Drafting of purchase documentation &ndash; according to the applicable attorney tariff<\/li>\n<\/ul>\n<p><strong>Note: If the client engages Roel Real Estate d.o.o. for full brokerage, the above items are included in the agreed agency commission and are not charged separately.<\/strong><\/p>\n<p><strong>Actions not covered by article 2 of the General terms<\/strong><\/p>\n<p>Hourly rate &ndash; &euro;100.00\/hour<\/p>\n<p>&nbsp;<\/p>\n<h2>Right to brokerage fee<\/h2>\n<p>&nbsp;<\/p>\n<p><strong>Article 8.<\/strong><\/p>\n<p><strong>8.1. The Broker shall be entitled to the brokerage fee in the following cases:<\/strong><\/p>\n<p style=\"padding-left: 30px;\">8.1.1. After an agreement in the form of a contract has been concluded between the seller and the buyer, or between the landlord\/lessor and the tenant\/lessee, or upon the conclusion of an exchange agreement, provided that the Broker mediated and through their actions enabled the conclusion of the agreement.<\/p>\n<p style=\"padding-left: 30px;\">8.1.2.&nbsp;The Broker shall be entitled to the Fee if the spouse, common-law spouse, informal partner, descendant or parent of the Principal; or a company, institution or other legal entity of which the Principal, their spouse, informal partner, descendant or parent is a founder or legal representative, or with which they have an employment or service agreement, concludes a mediated legal transaction with a person whom the Broker introduced to the Principal.<\/p>\n<p style=\"padding-left: 30px;\">8.1.3.&nbsp;If, within one year after termination of the brokerage agreement or exclusive brokerage agreement, the Principal concludes a legal transaction which is predominantly the result of the Broker&rsquo;s actions prior to termination, the Principal shall pay the full brokerage fee.<\/p>\n<p>&nbsp;<\/p>\n<h2>Termination of agreement<\/h2>\n<p>&nbsp;<\/p>\n<p><strong>Article 9.<\/strong><\/p>\n<p>9.1. A brokerage agreement concluded for a fixed term shall terminate upon the expiry of the agreed period if during such period no contract has been concluded for which mediation was provided, or by termination by either party.<\/p>\n<p>9.2. The Principal shall reimburse the Broker for expenses expressly agreed to be borne separately by the Principal.<\/p>\n<p>9.3. The provisions of paragraph 9.2 of this Article shall also apply to the termination of an exclusive brokerage agreement.<\/p>\n<p>9.4. The brokerage agreement cannot be terminated during negotiations between the Principal and a Third Party buyer introduced by the Broker.<\/p>\n<p>&nbsp;<\/p>\n<h2>Transitional and final provisions<\/h2>\n<p>&nbsp;<\/p>\n<p><strong>Article 10.<\/strong><\/p>\n<p>10.1. For all other relations not regulated by these General Terms and Conditions or the brokerage agreement, the provisions of the Real Estate Brokerage Act, the Obligations Act, and other applicable legal regulations of the Republic of Croatia shall apply.<\/p>\n<p>10.2. In the event of a dispute arising between the contracting parties that cannot be resolved amicably, the competent court in Zagreb shall have jurisdiction.<\/p>\n<p>10.3. These General Terms and Conditions shall enter into force on the day of adoption and shall apply from that date.<\/p>\n<p>&nbsp;<\/p>\n<p><em>This English translation is provided for convenience.
